Rules of Engagement.

1. Operational Framework

Welcome to Omegroww Media. We are an elite performance marketing and growth systems agency. By engaging us for our services, you are entering into a professional partnership governed by these Terms, alongside any custom Master Service Agreement (MSA) or proposal signed between both parties.

• Acceptance: Your continued use of our website, or signature on a service proposal, constitutes full acceptance of these terms.
• Modifications: Omegroww Media reserves the right to update these terms to reflect evolving operational infrastructures. Clients actively under retainer will be notified of material changes.

2. Engagement & Scope

Our mandate is to engineer predictable growth. However, the exact scope of work is strictly defined within the individual proposal or invoice issued to the Client.

• Scope Creep: Requests falling outside the explicitly defined scope of work in the active agreement will be subject to additional billing and a separate scope addendum.
• Client Cooperation: Our systems require data and assets to function. The Client agrees to provide necessary account access, creatives, and timely approvals. Delays on the Client's end will not extend billing cycles or pause retainer fees.

3. Financial Architecture

To sustain elite service delivery, our financial protocols are strictly enforced.

• Payment Terms: All invoices are due upon receipt unless otherwise stated in the MSA. Services and ad campaigns will not commence until initial payments have cleared.
• Ad Spend: The Client is solely responsible for funding all advertising budgets directly to the platforms (e.g., Meta, Google). Omegroww Media does not front ad spend.
• Refund Protocol: Due to the irreversible nature of time, strategy, and digital asset creation, all payments for services rendered are strictly non-refundable.

4. Intellectual Property

We respect your brand identity while protecting the proprietary systems we have built.

• Client Ownership: Upon full payment, the Client owns all final, delivered assets (e.g., ad creatives, funnel pages) specific to their brand.
• Agency Ownership: Omegroww Media retains all rights to its proprietary strategies, operational systems, code snippets, backend templates, and automated workflows utilized to deliver the services.
• Portfolio Rights: Unless under a strict NDA, Omegroww Media reserves the right to showcase the results, creatives, and generic data from the partnership as case studies.

5. Liability & Guarantees

While we engineer systems designed for maximum ROI, third-party advertising platforms are inherently volatile environments.

• No Absolute Guarantees: Omegroww Media makes no legally binding guarantees regarding specific Return on Ad Spend (ROAS), Cost Per Acquisition (CPA), or revenue milestones, as these are subject to market conditions beyond our control.
• Platform Bans: Omegroww Media is not liable for ad account suspensions, shadowbans, or restrictions imposed by platforms like Meta or Google, though we will assist in the appeal process.
• Limitation of Liability: In no event shall Omegroww Media's total liability exceed the total amount paid by the Client to the Agency during the one (1) month preceding the event giving rise to the claim.

6. Termination Protocol

Partnerships can be concluded respectfully and systematically.

• Notice Period: For month-to-month retainers, either party may terminate the agreement by providing a minimum of thirty (30) days written notice.
• Offboarding: Upon termination and settlement of all outstanding invoices, Omegroww Media will relinquish access to all Client ad accounts, software, and proprietary data within 48 hours.
• Immediate Termination: Omegroww Media reserves the right to immediately terminate services for breach of contract, non-payment, or abusive behavior toward our team.

7. Governing Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Jharkhand, India.
